Terms of Service

These Terms of Service ("Terms") govern your access to and use of HiveActs (the "Service"), operated by HiveActs ("we", "us", "our"). By accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

HiveActs is a multi-tenant business application for contract review and management. Features include AI-assisted contract analysis, document drafting, a clause playbook, document storage integrations (Google Drive, Dropbox), and scanned-signature application onto PDFs.

2. Account registration

  • Access is currently invite-only. You must be invited by an existing company administrator or by us.
  • You must sign in with a Google account that you control. We rely on Google for identity verification.
  • You are responsible for activity under your account, including the confidentiality of your credentials. Notify us immediately at support@hiveacts.com if you suspect unauthorized access.
  • You confirm you are at least 18 years old and authorised to bind your organisation, if you are using the Service on its behalf.

3. License grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to resell, sublicense, or make the Service available to third parties outside your organisation.

4. Acceptable use

  • Don't use the Service to violate any law.
  • Don't upload content you don't have the right to upload, or that infringes anyone's rights.
  • Don't attempt to reverse-engineer, scrape, or circumvent security controls.
  • Don't use the Service to generate or distribute malicious, illegal, or harmful content.
  • Don't use the AI features to attempt prompt injection against third-party systems or to extract Anthropic system prompts.
  • We may suspend accounts that abuse the Service, including running excessive API load or attempting to bypass rate limits.

5. AI-generated content

The Service uses third-party large language models (Anthropic Claude) to analyse contracts, suggest clause wording, and generate drafts. AI output may be inaccurate, incomplete, or out of date. You are solely responsible for reviewing AI output and having a qualified lawyer validate any document before relying on it. See our AI Disclaimer for details.

6. Customer data

  • You retain all ownership of the contracts, templates, signatures and other content you upload ("Customer Data").
  • You grant us a limited license to process Customer Data only to the extent necessary to provide the Service to you (including sending relevant excerpts to Anthropic for AI inference).
  • We won't sell Customer Data, and we won't use it to train our own models.
  • Storage location of Customer Data: European Union (Belgium / Cloud Run europe-west1, Supabase EU). See the Privacy Policy for full subprocessor list and details.

7. Fees

The Service is currently provided free of charge during the closed beta. We may introduce paid tiers in the future; existing customers will receive at least 30 days' notice before any pricing change takes effect. AI usage may be subject to per-tenant token quotas.

8. Confidentiality

Each party will protect the other party's confidential information with the same degree of care it uses for its own (and no less than reasonable care). This obligation survives termination.

9. Termination

  • You may stop using the Service at any time. Contact support@hiveacts.com for account deletion.
  • We may suspend or terminate access if you breach these Terms, including the Acceptable Use rules above.
  • On termination, your access ends. Customer Data is retained for up to 90 days for restoration, then permanently deleted unless we are legally required to retain it.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

12. Indemnification

You agree to indemnify and hold us harmless from any claim arising out of (a) your use of the Service in violation of these Terms, (b) Customer Data you upload, or (c) your violation of any third-party right.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material, we'll notify you by email or via an in-product banner at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.

14. Governing law

These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws principles. Disputes will be resolved in the courts of England and Wales.
